Introduction

Welcome to the Shahizy Mystery Shopper Program.

This Agreement governs the relationship between Shahizy Establishment, a commercial establishment registered in the Kingdom of Saudi Arabia under Commercial Registration Number 7052854812, hereinafter referred to as "Shahizy," "the Establishment," "we," "us," or "our," and any individual registered to participate in the Mystery Shopper Program, hereinafter referred to as the "Mystery Shopper," "Shopper," or "Participant."

This Agreement establishes the rights and obligations associated with registration, assignment acceptance, field visits, evaluations, report submissions, financial rewards, reimbursements, and participation in the program.

By electronically accepting this Agreement, the Mystery Shopper acknowledges having read, understood, and agreed to its provisions.

The specific details of each accepted assignment, including its requirements, schedule, rewards, and approved expenses, form an integral part of this Agreement.

Nature of the Contractual Relationship

The Mystery Shopper participates as an independent service provider engaged to complete specific assignments through the Shahizy platform.

Registration in the program or acceptance of this Agreement does not guarantee a minimum number of assignments, regular income, fixed compensation, or continuous engagement.

Mystery Shoppers are free to accept or decline assignments before committing to their execution.

This Agreement does not, by itself, establish an employment relationship, agency, partnership, or joint venture between the parties.

The actual legal classification of the relationship remains subject to its practical implementation and applicable laws. Describing a Participant as an independent service provider does not waive any mandatory rights established by law.

Registration and Eligibility

Participation in the Mystery Shopper Program is subject to eligibility and registration requirements established by Shahizy in accordance with applicable laws.

Mystery Shoppers must provide accurate and current information, including identity details, contact information, city of residence, payment information, and any other information reasonably necessary for participation.

Shahizy may verify registration details, qualifications, and suitability for specific assignments.

Creating an account does not automatically constitute final approval or guarantee access to available assignments.

Shahizy may reject applications, suspend eligibility, or restrict participation based on objective criteria related to service requirements, quality standards, security, and regulatory compliance.

Personal Accounts

Each Mystery Shopper must maintain an individual account that may not be transferred, shared, or used by another person.

The Mystery Shopper is responsible for safeguarding account credentials and reporting suspected unauthorized access.

Allowing another person to perform assignments under the registered account or impersonating another Participant is strictly prohibited.

Shahizy may require additional identity verification where there are reasonable indications of account misuse or violations of program requirements.

Assignment Availability and Acceptance

Shahizy may offer assignments to eligible Mystery Shoppers based on location, business category, assignment requirements, and applicable distribution criteria.

Assignment details may include the visit location, required schedule, evaluation instructions, scope of work, financial reward, and approved spending allowance.

Mystery Shoppers may accept or decline available assignments before making a commitment.

Once an assignment has been accepted and confirmed, the Mystery Shopper must complete it in accordance with the applicable requirements.

Assignments may not be transferred, delegated, or subcontracted without Shahizy's express authorization.

Shahizy may reassign assignments that remain unaccepted, exceed their acceptance deadlines, or cannot be completed by the assigned Participant.

Conducting Field Visits

Mystery Shoppers must personally complete assigned visits at the specified location and within the approved time window.

All applicable instructions, evaluation criteria, and reporting requirements must be followed.

Mystery Shoppers are expected to behave naturally and professionally, reflecting the experience of an ordinary customer.

They must not deliberately provoke employees, disrupt business operations, fabricate incidents, or manipulate circumstances to influence evaluation results.

All applicable laws, safety requirements, and reasonable establishment policies must be respected.

Visits must not be conducted outside approved schedules or at alternative locations without Shahizy's authorization.

Integrity and Objectivity

Integrity, independence, and objectivity are fundamental requirements of participation in the Mystery Shopper Program.

Mystery Shoppers must provide evaluations that accurately reflect their personal experiences and actual observations.

Reports must not contain deliberately misleading statements, fabricated incidents, exaggerated claims, or intentional omissions of material information.

Participants must not coordinate with establishment employees or managers to influence evaluation outcomes.

Any personal, professional, or financial relationship that may materially affect the independence of an evaluation must be disclosed to Shahizy.

Shahizy may exclude a Participant from an assignment where a material conflict of interest exists.

Confidentiality of Mystery Shopper Identity

Mystery Shoppers must maintain the confidentiality of their assignment and their role as evaluators during field visits, to the extent permitted by applicable laws and circumstances.

Assignment details, evaluation criteria, and the identity of the requesting business must not be disclosed to unauthorized individuals.

Publishing or sharing assignment details, photographs, reports, or related confidential information on social media or through external channels without authorization is prohibited.

If a Mystery Shopper's identity becomes known during a visit, the Participant must notify Shahizy and explain the circumstances.

Shahizy will determine whether the incident affects the reliability or validity of the evaluation.

Reports and Evaluations

Mystery Shoppers must complete the required evaluation form and submit their reports within the deadline specified for each assignment.

Responses must be accurate, clear, and based on events personally observed or experienced.

Evaluation forms may contain written questions, numerical ratings, multiple-choice responses, observations, photographs, and supporting evidence.

Participants should distinguish between factual observations and personal opinions.

Reusing previous reports, fabricating answers, or reporting events that did not occur is prohibited.

Shahizy may request clarification, additional information, or corrections before approving a report.

Photographs, Receipts, and Supporting Evidence

Certain assignments may require photographs, purchase receipts, documents, or other supporting evidence to verify completion.

Mystery Shoppers must submit authentic, accurate, and assignment-specific evidence.

Submitting photographs, receipts, or documents from unrelated visits, or altering evidence to misrepresent actual circumstances, is prohibited.

Photographs must be taken in compliance with applicable laws and privacy requirements.

Participants must respect the privacy of individuals and must not photograph people or private information without an appropriate lawful basis.

Secret audio or video recording in violation of applicable laws or assignment instructions is prohibited.

Shahizy may reject unclear, incomplete, irrelevant, or noncompliant evidence and request appropriate replacements where reasonably possible.

Expenses and Spending Allowances

Certain assignments may include an approved spending allowance for purchases, consumption, or other visit-related requirements.

The amount, permitted purpose, and applicable conditions of the allowance will be disclosed before assignment acceptance.

Mystery Shoppers must use approved allowances exclusively for authorized assignment purposes.

Where a Participant is required to spend personal funds, the applicable reimbursement limit and conditions must be disclosed before the assignment is accepted.

Shahizy is not obligated to reimburse unauthorized expenses, amounts exceeding approved limits, or costs unrelated to the assignment, unless otherwise required by law or expressly agreed upon.

Reimbursement may require valid receipts or other appropriate supporting documents.

Spending allowances intended for purchases do not constitute personal compensation unless the assignment terms expressly state otherwise.

Financial Rewards

Each assignment carries an individually determined reward, disclosed to the Mystery Shopper before acceptance.

Rewards become payable upon proper assignment completion, submission of the required report and supporting evidence, and verification against objective assignment criteria.

Submitting a report does not automatically constitute final approval.

However, Shahizy may not withhold compensation for a properly completed assignment without a legitimate contractual or legal basis.

Reward amounts may vary depending on the city, assignment category, duration, complexity, and operational requirements.

Participation does not guarantee fixed income or a minimum volume of assignments.

Applicable statutory deductions or financial obligations, if any, will be handled in accordance with relevant laws and disclosed as required.

Report Review and Approval

Submitted reports are subject to review procedures intended to verify completeness, accuracy, quality, and compliance with assignment requirements.

Shahizy may return reports for clarification, correction, or completion of missing information.

Reviews may include verification of visit timing, location, supporting evidence, and consistency between observations and submitted responses.

Where a material deficiency or violation affects the reliability of an assignment, Shahizy may reject the report and provide the relevant reason.

Mystery Shoppers may challenge rejection decisions through authorized support channels.

Disputes will be reviewed based on available information, supporting evidence, and the circumstances of the assignment.

Payment of Earnings

Approved rewards and reimbursements will be paid through payment methods supported by Shahizy.

Mystery Shoppers must provide accurate and current payment information.

Payment schedules and procedures will be disclosed through applicable program terms, assignment details, or financial notices before the Participant commits to the assignment.

Approved earnings must not be unreasonably delayed without a legitimate contractual or legal justification.

Where payment cannot be completed due to incorrect account information or a payment provider issue, appropriate steps will be taken to complete the transfer once the underlying issue has been resolved.

Shahizy maintains relevant records of rewards, reimbursements, and payments in accordance with applicable legal requirements.

Assignment Cancellation, Delays, and No-Shows

Mystery Shoppers must notify Shahizy as soon as reasonably possible if they become unable to complete an accepted assignment.

Assignments may be canceled or reassigned before execution according to applicable assignment conditions and operational requirements.

Failure to attend, material delays, or abandonment without a valid explanation may result in reassignment or a review of the Participant's eligibility.

Repeated late cancellations or unjustified no-shows may lead to restrictions on future assignments or temporary program suspension.

Cancellation or failure to complete an assignment does not automatically result in financial penalties unless a valid, lawful, and clearly disclosed contractual basis exists.

If Shahizy cancels an assignment after execution has begun, compensation for completed work and approved expenses will be determined in accordance with the assignment terms and applicable law.

Inability to Complete a Visit

Certain circumstances may prevent successful completion of an assignment, including business closures, unavailable services, unexpected operational conditions, or safety concerns.

In such cases, the Mystery Shopper must notify Shahizy and provide an accurate description of the circumstances, along with any evidence that can be safely and lawfully obtained.

Participants are not required to place themselves or others at risk to complete an assignment.

Shahizy will review the circumstances to determine whether the assignment should be rescheduled, discontinued, or partially compensated based on completed work and approved expenses.

Safety and Professional Conduct

Mystery Shoppers must comply with applicable laws, reasonable safety instructions, and professional conduct standards.

All interactions with employees, customers, and other individuals must remain respectful and professional.

Threatening, abusive, harassing, or dangerous behavior is prohibited.

If a Participant encounters a reasonably unsafe situation, they may leave the location and report the incident to Shahizy.

No assignment requires a Participant to violate the law, enter restricted areas without permission, or engage in unjustifiably dangerous activities.

Conflicts of Interest

Mystery Shoppers must disclose any relationship or interest that could materially compromise their independence.

Potential conflicts may include employment with the evaluated business, close relationships with its management or owners, or financial interests linked to the evaluation outcome.

Shahizy may withhold or reassign an assignment where a material conflict of interest is identified.

Accepting compensation, gifts, or other benefits from an evaluated establishment in exchange for manipulating results or changing a report is prohibited.

Fraud Prevention and Misconduct

Shahizy may implement verification procedures to protect assignment integrity and ensure the accuracy of submitted information.

Serious violations include, but are not limited to:

  • Claiming to have completed a visit that did not occur.
  • Submitting fabricated or altered receipts or photographs.
  • Allowing an unauthorized individual to perform an assignment.
  • Deliberately falsifying visit times or locations.
  • Manipulating evaluation results in exchange for benefits.
  • Submitting duplicate reimbursement claims.
  • Providing misleading information to obtain unearned rewards.

Where credible evidence of misconduct exists, Shahizy may temporarily suspend the review of earnings directly associated with the disputed assignment for a reasonable verification period.

If a violation is established, Shahizy may take appropriate contractual action, including rejecting invalid claims, suspending the account, or terminating participation.

Such action does not prevent either party from pursuing lawful compensation or referring relevant matters to competent authorities.

Confidential Information

Mystery Shoppers must protect confidential information obtained through their participation.

Confidential information may include assignment details, requesting businesses, evaluation templates, reports, operational procedures, and nonpublic business information.

Such information must not be used for unauthorized personal or commercial purposes or disclosed to third parties without appropriate permission.

Confidentiality obligations continue after termination of participation for as long as the information remains confidential, subject to disclosures required or permitted by applicable law.

Intellectual Property and Assignment Deliverables

All intellectual property rights associated with the Shahizy platform, software, trademarks, and proprietary evaluation systems remain with their respective lawful owners.

To the extent the Mystery Shopper owns the relevant rights, the Participant grants Shahizy a license to use, reproduce, edit, format, combine, distribute, and deliver assignment reports, observations, photographs, and related materials submitted in connection with an assignment.

This license is granted for the purposes of providing services to business customers, preparing final reports, maintaining operational records, and administering the platform.

Mystery Shoppers must not submit materials that infringe third-party intellectual property rights.

Participants may not independently publish, resell, or commercially exploit assignment reports or confidential deliverables without authorization.

Nothing in this Agreement transfers rights that cannot legally be transferred or waives protections that cannot lawfully be waived.

Personal Data Protection

Shahizy processes Mystery Shoppers' personal data for purposes related to registration, eligibility verification, assignment administration, report review, payment processing, platform security, and regulatory compliance.

Such processing is governed by Shahizy's Privacy Policy and applicable data protection laws in the Kingdom of Saudi Arabia.

Shahizy may engage technical and operational service providers to process information for authorized purposes, subject to applicable security, confidentiality, and disclosure requirements.

Mystery Shoppers may exercise their personal data rights in accordance with applicable law by contacting Shahizy through its authorized channels.

Membership Suspension and Termination

Mystery Shoppers may request termination of their participation through the platform or authorized support channels.

Shahizy may suspend or terminate participation for legitimate reasons, including serious misconduct, fraudulent submissions, repeated material violations, or significant failure to meet program requirements.

Outstanding assignments and approved earnings will be addressed according to their individual conditions and the applicable legal rights of both parties.

Termination does not eliminate accrued payment obligations or contractual responsibilities that are intended to survive termination.

Limitation of Liability

Both parties must perform their obligations with reasonable care and in compliance with applicable laws.

Mystery Shoppers may be held responsible for losses arising from proven unlawful conduct or contractual violations, to the extent established by applicable law.

Participants are not automatically responsible for unfavorable business outcomes arising solely from accurate, objective reporting.

Shahizy is not responsible for personal actions taken by a Mystery Shopper outside the authorized scope of an assignment or contrary to lawful instructions, except to the extent liability is imposed by applicable law.

Nothing in this Agreement excludes or limits liability that cannot lawfully be excluded.

Force Majeure and Extraordinary Circumstances

Neither party will be liable for failure or delay in performing obligations caused by circumstances beyond its reasonable control where such circumstances qualify as force majeure under applicable law.

The affected party must provide notice where reasonably possible and take appropriate measures to minimize resulting disruption.

Affected assignments will be handled according to their execution status, approved expenses, and applicable contractual and legal obligations.

Notifications and Communications

Shahizy may communicate assignment notifications, review decisions, payment information, and account-related messages through the platform, email, SMS, or other authorized communication channels.

Mystery Shoppers are responsible for maintaining accurate contact information.

Formal notices will be handled according to the procedures established in this Agreement and applicable law.

Objections and Complaints

Mystery Shoppers may submit objections concerning rejected reports, assignment approval decisions, or disputed earnings.

Shahizy receives objections and complaints through its official support channels.

Submitted concerns will be reviewed using assignment details, available evidence, and relevant operational records.

Shahizy aims to resolve disputes fairly and in accordance with applicable contractual and legal requirements.

Nothing in this Agreement restricts either party's right to seek assistance from competent authorities.

Amendments to This Agreement

Shahizy may update this Agreement to reflect program developments, operational changes, or applicable legal requirements.

Updated versions will be made available through the platform, together with the relevant last-updated date.

Where amendments materially affect existing contractual rights or obligations, Shahizy will provide any notifications or obtain any consent required by applicable law.

Changes will not apply retroactively to accepted assignments or accrued rights unless permitted by law or validly agreed upon.

Governing Law and Dispute Resolution

This Agreement is governed by and interpreted in accordance with the laws and regulations of the Kingdom of Saudi Arabia.

Both parties are encouraged to seek an amicable resolution before initiating formal legal proceedings.

Where an amicable settlement cannot be reached, disputes shall fall within the jurisdiction of the competent courts or authorities, according to applicable jurisdictional rules.

If any provision of this Agreement conflicts with a mandatory legal requirement, the applicable legal provision shall prevail.
