Introduction
Welcome to Shahizy.
These Terms and Conditions govern access to and use of the Shahizy platform, including its websites, applications, dashboards, digital products, and related services.
The Shahizy platform is owned and operated by Shahizy Establishment, a commercial establishment registered in the Kingdom of Saudi Arabia under Commercial Registration Number 7052854812, hereinafter referred to as "Shahizy," "the Establishment," "we," "us," or "our."
Any individual or business entity accessing the platform or purchasing its services is referred to as the "User," "Customer," or "Client," as applicable.
By creating an account, placing an order, purchasing a subscription, or explicitly accepting these Terms through the platform, the User acknowledges having had the opportunity to review, understand, and agree to these Terms.
If you do not agree to these Terms, you must refrain from using services requiring their acceptance.
Scope of Services
Shahizy provides technology-driven solutions, digital products, and managed operational services primarily intended for businesses.
Our services may include:
- Electronic menu creation, management, and customization.
- Mystery shopping and customer experience evaluation.
- Sanad, our Google review management and AI-assisted response service.
- Marketing, photography, and content creation services.
- Managed services delivered through Shahizy's operational partners.
- Additional digital tools, technical solutions, and business services.
Features, deliverables, pricing, subscription periods, usage limits, and requirements may vary according to the selected product, package, offer, or agreement.
Shahizy may develop, enhance, modify, replace, or discontinue certain services, subject to applicable laws and existing contractual obligations.
Eligibility and Authorized Use
Users must possess the legal capacity and authority required to enter into binding agreements.
Individuals registering or contracting on behalf of a business represent that they are duly authorized to act on behalf of that entity.
Users are responsible for ensuring that their registration details, business information, and other submitted information are accurate and up to date.
Shahizy may request additional documentation or verification where reasonably necessary to establish identity, business registration, or authorization.
User Accounts and Access
Users are responsible for maintaining the confidentiality of their account credentials and preventing unauthorized access.
Account activities may be reviewed where unauthorized access, fraud, or misuse is suspected.
Users must promptly notify Shahizy of suspected security breaches or unauthorized account usage.
Shahizy may temporarily suspend or restrict account access where reasonably necessary to address security threats, suspected fraud, or material violations of these Terms, subject to applicable legal requirements.
Electronic Orders and Agreements
Shahizy enables Customers to request services and purchase subscriptions through electronic channels.
Relevant service details, prices, durations, applicable fees, and specific conditions will be disclosed before an order is completed.
Orders are subject to service availability and fulfillment of applicable requirements.
Electronic agreements are formed through the relevant order and acceptance procedures in accordance with applicable Saudi Arabian laws.
Certain services may require additional information, approvals, documentation, or operational arrangements before execution.
Confirmed order details and service-specific agreements form an integral part of the contractual relationship between Shahizy and the Customer.
Pricing and Fees
Service prices, subscription charges, and promotional offers are determined according to the information displayed on the platform or specified in an approved quotation or agreement.
Applicable taxes and fees, including Value Added Tax (VAT) where applicable, will be disclosed before purchase in accordance with relevant regulations.
Shahizy may revise its pricing and subscription plans.
Changes will not retroactively affect completed purchases or prepaid subscription periods unless expressly agreed upon or otherwise permitted by law.
Additional charges for customized services, additional branches, or expanded deliverables will be disclosed and approved before being charged.
Subscriptions and Renewals
Certain Shahizy services are available through recurring subscriptions or fixed-term packages.
Subscription periods begin according to the activation terms specified during purchase.
Where automatic renewal is offered, the renewal frequency, applicable charges, and cancellation procedures will be disclosed before subscription.
Subscriptions remain active for their paid duration unless terminated according to the applicable agreement or legal requirements.
Expiration or non-renewal may result in the suspension of paid features and related services.
Customers may cancel future renewals through the procedures available for the relevant subscription.
Payments and Transactions
Electronic payments are processed through payment methods and authorized financial service providers supported by Shahizy.
Customers are responsible for providing accurate payment-related information.
Initiating a payment does not constitute confirmation of successful payment.
Service activation or order fulfillment may depend on verification of the completed transaction.
Shahizy may suspend order processing until payment has been confirmed.
Refunds, reversals, and financial settlements are subject to applicable laws, service-specific terms, and relevant payment provider procedures.
Cancellations and Refunds
Cancellation and refund conditions vary depending on the nature of the service, its execution status, and whether resources or deliverables have already been allocated or provided.
Customers may submit cancellation requests through the platform or authorized support channels.
Refund requests will be reviewed according to the applicable service conditions, contractual agreements, execution status, and mandatory legal rights.
For services that have not commenced, cancellation and refund eligibility will be determined by the terms disclosed at purchase and applicable laws.
Where service execution has commenced, eligible refunds may take into account completed work and actual costs incurred, provided such deductions are lawful and clearly agreed upon.
Nothing in these Terms limits or excludes mandatory rights available to Customers under applicable law.
Electronic Menu Services
Shahizy's electronic menu services enable businesses to create, customize, manage, publish, and update digital menus according to the features included in their subscriptions.
Customers are responsible for the accuracy, completeness, and legality of all information published through their menus.
This includes product names, prices, descriptions, photographs, ingredients, nutritional information, allergens, and product availability.
Shahizy does not independently certify the accuracy of Customer-submitted menu information.
Customers must possess the necessary rights, licenses, and authorizations for content uploaded or published through the service.
Shahizy may remove or restrict content that violates applicable laws, intellectual property rights, or these Terms.
Continued access to electronic menu services is subject to applicable subscription and operational requirements.
Mystery Shopping Services
Shahizy provides mystery shopping services designed to evaluate customer experiences and operational performance through structured field visits conducted by qualified individuals.
Assignment requirements, evaluation criteria, target branches, visit periods, and additional instructions are determined before an order is confirmed.
Reports are prepared using observations, supporting evidence, and information collected during the relevant visit and may undergo internal review procedures.
Evaluation results reflect circumstances observed during the specific visit and do not guarantee identical performance across different periods, locations, or operating conditions.
Shahizy applies reasonable professional care in preparing reports but does not guarantee that every evaluation will be free from subjective judgment or human error.
Visits may be rescheduled or operational arrangements adjusted when reasonably necessary due to circumstances affecting execution, with appropriate notification to the Customer.
Mystery shopper identities are treated as restricted information.
Customers must not unlawfully attempt to identify, pressure, influence, or interfere with mystery shoppers or the independence of their evaluations.
The permitted use, ownership, and distribution of reports are governed by the applicable service agreement and confirmed order conditions.
Sanad Google Review Management Service
Shahizy provides Sanad, a service designed to help businesses monitor, display, analyze, and respond to customer reviews on Google Business Profile.
Sanad may assist with preparing appropriate responses and publishing them according to Customer-defined settings and authorizations.
Sanad is an independent service operated by Shahizy Establishment. It is not a Google product and is not sponsored, endorsed, or certified by Google.
Google Business Profile can be created and managed directly through Google's services without a fee for the business profile itself.
Shahizy charges separately for the additional technical and operational functionality provided through Sanad, according to its disclosed subscription plans.
Sanad functionality depends on the availability of official Google Business Profile APIs, granted permissions, Google's technical restrictions and policies, and the applicable Shahizy subscription.
Eligibility to Connect Business Accounts
By connecting a Google Business Profile account to Sanad, the Customer represents that they own the relevant business profile or are duly authorized to manage it and permit Shahizy to access it and respond to reviews on its behalf.
Customers must maintain appropriate Google account permissions and ensure that the connected accounts and business locations are accurately selected.
Connecting accounts that the Customer is not authorized to manage is prohibited.
Account connections are established through Google's official authorization process.
Shahizy does not require Customers to share their Google account passwords.
Connecting a business profile does not transfer ownership of that profile or its reviews to Shahizy.
Customers retain the ownership and management rights provided by Google.
Scope of Google Authorization and Permissions
The Customer authorizes Shahizy to use the Google permissions expressly granted through the authorization process for the disclosed functionality of Sanad.
This includes accessing reviews and existing responses associated with selected business locations and managing responses on behalf of the business.
The authorization process may involve the following Google OAuth scope:
https://www.googleapis.com/auth/business.manage
Sanad uses this scope only for the functions and operations authorized by the Customer, even where the scope technically permits broader functionality.
Connecting a Google account does not constitute unrestricted authorization to make unrelated changes to business profiles.
It does not authorize Shahizy to add managers, modify business information, or publish unrelated content without appropriate separate authorization.
Information associated with the integration is processed in accordance with Shahizy's Privacy Policy and applicable Google policies.
Response Generation and Manual Approval
Sanad may allow Customers to configure response tone, signatures, eligible review ratings, and manual or automated approval settings, depending on the features available in their subscriptions.
When manual approval is enabled, suggested responses are presented to authorized users for review and approval before submission to Google.
Sanad uses artificial intelligence technologies to assist with response generation.
AI-generated responses may occasionally contain inaccuracies, inappropriate language, or content that does not fully reflect the business's circumstances.
Customers are responsible for configuring available service settings to reflect their communication preferences and business requirements.
Customers must not instruct Sanad to generate abusive, misleading, unlawful, or otherwise prohibited content.
Explicit Authorization for Automated Responses
Connecting a Google account or subscribing to Sanad does not automatically activate automated response publication.
Automated publishing requires a separate, affirmative action by an authorized User expressly permitting Shahizy to publish responses on behalf of the business according to the selected criteria and settings.
By enabling this feature, the Customer acknowledges that eligible responses may be published without individual manual approval.
Such responses will appear on Google as responses from the relevant business.
Customers may modify their response settings or disable automated publication through the available service controls.
Disabling automated publication applies to future operations that have not yet been executed and does not automatically remove previously published responses.
Automated publication must remain within the scope of the Customer's express authorization and applicable Google policies.
Customer Responsibility for Published Responses
Customers are responsible for determining the communication style appropriate for their businesses, reviewing automation configurations, and monitoring responses published through their connected accounts, according to the level of control provided by the service.
Shahizy does not guarantee that AI-generated responses will always be error-free.
Shahizy remains responsible for addressing errors and complaints arising from its service performance according to applicable contractual and legal obligations.
Customer responsibility does not exempt Shahizy from liability for its own unlawful actions, negligence, or other conduct for which compensation is required under applicable law.
Service Results and Google Integration Availability
Sanad does not guarantee improvements in average review ratings, star ratings, Google search rankings, sales performance, or the removal of negative reviews.
Google retains control over the display of reviews, API availability, acceptance or rejection of responses, and moderation decisions.
Changes to Google's policies, account permissions, API usage limits, or the availability of relevant integrations may result in delays, restrictions, modifications, or suspension of certain Sanad features.
Such changes remain subject to Shahizy's existing contractual obligations and Customers' applicable legal rights.
Google Data and Artificial Intelligence
Sanad accesses information necessary to provide its authorized features according to the permissions granted by the Customer.
Review text and relevant contextual information may be processed through specialized artificial intelligence technologies, including Google Gemini where used, to prepare suggested responses.
Data access, processing, sharing, retention, and deletion are governed by Shahizy's published Privacy Policy and applicable Google Business Profile API policies.
Customers do not grant Shahizy permission to sell Google reviews, create independent commercial databases from them, or use them for unauthorized advertising purposes.
Sanad Subscription Fees
Sanad subscription fees are determined according to the selected plan, number of business locations, included features, and applicable promotional offers.
The relevant charges are disclosed before purchase.
These charges represent payment for Shahizy's technical and operational services.
They are not fees imposed by Google for directly creating or managing a Google Business Profile.
Subscription renewals, cancellations, and refunds are governed by the general provisions of these Terms and any service-specific conditions presented during purchase, subject to applicable laws.
Disconnecting Google and Terminating Authorization
Customers have the right to disconnect their Google Business Profile accounts from Sanad and terminate Shahizy's authorization to manage those accounts.
Disconnection may be requested through the available account connection controls or Shahizy's official support channels.
Upon receiving a valid termination request, Shahizy will stop initiating new operations using the terminated authorization and complete the disconnection and removal of its management access within the period required by Google's applicable policies, and no later than seven business days where that requirement applies.
Customers may also revoke Shahizy's authorization directly through their Google Account settings.
Shahizy may not require Customers to maintain Google account access until the end of a paid subscription or use continued account access as leverage in a payment dispute.
Disconnecting may disable features associated with the affected business accounts or locations.
It does not automatically delete reviews or previously published responses from Google.
Data retained by Shahizy after disconnection remains subject to its Privacy Policy, applicable legal obligations, and Google's data handling requirements.
The financial consequences of subscription cancellation are considered separately from the Customer's right to disconnect a Google account, according to the disclosed terms and applicable legal rights.
Compliance with External Platform Policies
Each party must comply with applicable Google Business Profile and Google API policies according to its respective responsibilities.
This includes requirements relating to express authorization, content accuracy, permitted usage, and prohibitions against review manipulation or misuse.
If a Customer's instruction conflicts with an applicable Google policy or mandatory legal requirement, Shahizy may decline to carry out that instruction and provide an appropriate explanation.
Customers may review Google's official third-party disclosure notice, "Working with a third party," at:

Managed Services and Operational Partners
Shahizy may provide marketing, operational, and creative services directly or through authorized third-party partners.
Service scope, deliverables, estimated completion periods, requirements, and relevant intellectual property rights are determined through confirmed orders, quotations, or separate agreements.
Shahizy may engage qualified service providers while remaining subject to its contractual obligations toward Customers.
Customers must provide necessary information, materials, permissions, and approvals within agreed timelines.
Delays caused by missing or incomplete Customer requirements may affect delivery schedules.
Unless expressly guaranteed in a specific agreement, Shahizy does not promise particular marketing or commercial outcomes, including sales volumes, audience reach, engagement levels, or view counts.
Customer Responsibilities and Acceptable Use
Customers must use Shahizy's services lawfully and responsibly.
Prohibited activities include:
- Providing false or misleading information.
- Impersonating another individual or organization.
- Using the platform for fraudulent or unlawful activities.
- Attempting unauthorized access to systems, accounts, or information.
- Interfering with platform functionality or security.
- Uploading content that violates intellectual property or privacy rights.
- Sending unlawful communications or violating external platform policies.
- Reselling or commercially exploiting services beyond authorized contractual permissions.
- Accessing information without appropriate authorization.
Shahizy may take proportionate action against violations, including restricting access, suspending services, or terminating agreements, subject to applicable laws and contractual rights.
Intellectual Property Rights
The Shahizy platform, including its software, designs, trademarks, logos, technical components, original content, and related intellectual property, is owned by Shahizy Establishment or its authorized licensors.
Access to the platform does not grant Users ownership of its intellectual property.
Users may not reproduce, distribute, modify, or commercially exploit protected platform components except as expressly authorized or permitted by law.
Customers retain ownership of content and materials they lawfully own and submit through the platform.
By submitting such content, Customers grant Shahizy the permissions reasonably necessary to host, process, display, and use it for delivery of the contracted services.
Ownership and usage rights relating to custom creative deliverables, managed services, and evaluation reports are determined by applicable service terms and agreements.
Confidentiality and Information Protection
Both parties must handle confidential information obtained through their contractual relationship according to its nature and the applicable confidentiality obligations.
Confidential information must not be used or disclosed beyond authorized purposes unless the relevant party has consented or disclosure is required by law.
Shahizy processes personal data in accordance with its Privacy Policy and applicable data protection regulations.
Customers are encouraged to review the Privacy Policy available on the Shahizy website for further information about personal data processing and privacy rights.
Third-Party Services and Integrations
Certain Shahizy features rely on external systems and providers, including payment gateways, cloud infrastructure, communication services, business management platforms, and artificial intelligence technologies.
The availability and functionality of these integrations may be affected by changes to third-party services, application programming interfaces, usage policies, or technical infrastructure.
Shahizy takes reasonable measures to maintain supported integrations but does not directly control independent systems operated by external providers.
Use of third-party services may also be subject to their respective terms, policies, and legal requirements.
Service Availability and Maintenance
Shahizy aims to provide reliable and stable services.
Platform functionality may occasionally be affected by scheduled maintenance, technical updates, security procedures, unforeseen failures, or circumstances beyond reasonable control.
Shahizy will take reasonable measures to reduce disruptions and restore affected services according to operational priorities.
General descriptions of service reliability do not constitute a guarantee of uninterrupted availability unless specific service levels are expressly agreed upon.
Limitation of Liability
Shahizy undertakes to provide its services with reasonable professional care and in accordance with applicable contractual and legal obligations.
To the extent permitted by law, Shahizy is not responsible for errors or losses directly resulting from inaccurate information supplied by Customers or their unlawful use of the services.
Shahizy does not guarantee commercial outcomes arising from business decisions made by Customers based on recommendations, estimates, evaluations, or reports that do not expressly guarantee specific results.
Nothing in these Terms excludes liability that cannot legally be excluded, including liability arising from fraud, gross negligence, or violations of mandatory legal obligations.
Any applicable liability or compensation will be determined according to the circumstances, relevant contractual obligations, and applicable laws.
Suspension and Termination
Shahizy may suspend or restrict services where reasonably necessary due to material violations of these Terms, fraudulent activity, security threats, or outstanding payment obligations.
Where reasonably practicable, Shahizy will provide notice before suspension or termination unless immediate action is justified by security or legal circumstances.
Customers may terminate services according to the cancellation and termination procedures applicable to their subscriptions or confirmed orders.
Termination does not automatically eliminate financial or contractual obligations incurred before the effective termination date.
Force Majeure
Neither party shall be liable for delays or failures to perform contractual obligations resulting from extraordinary circumstances beyond its reasonable control, where such circumstances qualify as force majeure under applicable law.
Such events may include natural disasters, major infrastructure disruptions, significant public emergencies, or governmental actions materially preventing contractual performance.
The affected party must take reasonable measures to minimize disruption and notify the other party when reasonably practicable.
Notifications and Communications
Shahizy may communicate account-related, operational, transactional, or service notifications through email, SMS, in-platform notifications, or other authorized communication channels.
Users are responsible for maintaining accurate contact information.
Formal contractual notices are governed by the communication procedures specified in applicable agreements and legal requirements.
Complaints and Dispute Resolution
Shahizy receives Customer inquiries and complaints through its authorized support channels.
Complaints are reviewed and addressed according to their nature and applicable legal requirements.
The parties are encouraged to seek an amicable resolution before initiating formal legal proceedings.
Where an amicable resolution cannot be reached, disputes will be subject to the laws of the Kingdom of Saudi Arabia and the jurisdiction of the competent courts or authorities according to applicable jurisdictional rules.
Nothing in these Terms limits the right to submit complaints to competent regulatory or judicial authorities.
Amendments to These Terms
Shahizy may update these Terms and Conditions to reflect changes in services, operational procedures, or applicable laws.
Updated versions will be published on the official website with a revised last-updated date.
Where changes materially affect existing contractual rights or obligations, Shahizy will take any notification or consent measures required by applicable law or agreement.
Changes will not retroactively affect established contractual rights except where legally permitted or validly agreed upon.
Severability
If any provision of these Terms is found to be invalid, unlawful, or unenforceable under applicable law, the remaining provisions shall continue in effect to the extent permitted by law.
Any affected provision shall be interpreted, where possible, in a manner consistent with its lawful purpose.
Governing Law
These Terms and Conditions are governed by and interpreted in accordance with the laws and regulations of the Kingdom of Saudi Arabia, including applicable provisions of the E-Commerce Law, Electronic Transactions Law, Personal Data Protection Law, and other relevant legislation.
In the event of a conflict between these Terms and mandatory applicable legal provisions, the mandatory legal provisions shall prevail.
